ARTICLE 1 – COMPANY IDENTITY
SSM Proposal (hereinafter the "Company") is a single-shareholder simplified joint-stock company (SASU) whose registered office is at 138 avenue Victor Hugo, 75016 Paris, France, registered with the Paris Trade and Companies Register under number 943 712 877.
The Company operates the website www.ouilove-paris.com and offers private concierge services, marriage proposal planning, and a directory of selected wedding professionals.
ARTICLE 2 – PREAMBLE
The Company invites its Users to read these General Terms of Sale and Use (hereinafter the "T&Cs") carefully. The T&Cs apply to all Services provided by the Company to its Clients of the same category, regardless of any clauses that may appear in the Client's documents, in particular its general terms of purchase.
These T&Cs govern all services offered by the Company, whether intended for:
- consumers (couples, users),
- professionals (providers listed in the directory).
Any use of the Site, any order or any subscription implies unreserved acceptance of these T&Cs.
The T&Cs are systematically provided to any Client who requests them. The Client must read the T&Cs before placing any Order. In the event of a later amendment to the T&Cs, the Client is subject to the version in force when the Order was placed.
The data recorded in the Company's information system constitutes proof of the transactions concluded with the Client.
ARTICLE 3 – DEFINITIONS
For the purposes of these T&Cs, the following terms have the meanings set out below:
"Client": any natural or legal person placing an order or subscribing to a service on this Site;
"Order": any order placed by the registered User on this Site in order to benefit from the Company's Services;
"Consumer": a natural person acting for purposes outside their professional activity;
"Professional / Partner": any natural or legal person acting within the scope of their professional activity, applying for or subscribing to the partner directory;
"Services": all the services offered by the Company;
"Directory": the directory of selected wedding professionals, accessible via the Site;

"Company": the company SSM Proposal, further described in Article 1 hereof;
"User": any person browsing the Site.
ARTICLE 4 – REGISTRATION AND ACCESS TO THE SITE
Registration on the Site is open to all legal entities and to natural persons who are of legal age and have full legal capacity. Registration is free of charge.
To register, the User must complete all mandatory fields; otherwise registration cannot be completed.
Users warrant and declare on their honour that all information provided on the Site, in particular when registering, is accurate and true. They undertake to update their personal information from the dedicated page available in their account.
Each registered User has a username and a password. These are strictly personal and confidential and must under no circumstances be disclosed to third parties, failing which the account of the offending registered User may be deleted. Each registered User is personally responsible for keeping their username and password confidential. The Company shall in no event be held liable for the impersonation of a User. If a User suspects fraud at any time, they must contact the Company as soon as possible so that it can take the necessary measures and rectify the situation.
Each User, whether a legal entity or a natural person, may hold only one account on the Site.
In the event of a breach of the T&Cs, in particular the creation of several accounts for a single person or the provision of false information, the Company reserves the right to temporarily or permanently delete all accounts created by the offending registered User.
Deleting an account results in the permanent loss of all benefits and services acquired on the Site. However, any Order placed and invoiced by the Site before the account is deleted will be fulfilled under normal conditions.
Where an account is deleted by the Company for breach of the duties and obligations set out in the T&Cs, the offending User is strictly prohibited from registering again on the Site, directly, through another email address or through an intermediary, without the express authorisation of the Company.
ARTICLE 5 – SERVICES OFFERED
The Services covered by the T&Cs are those that appear on the Site and are offered directly by the Company or by its partner providers. The Company offers in particular:
- marriage proposal planning services,
- private concierge services,
- a directory of selected wedding providers, intended for professionals.
The services are described on the corresponding page of the Site, which states all of their essential characteristics. The Company cannot be held liable for the impossibility of providing a service where the User is not eligible.
ARTICLE 6 – SERVICES AND PRICES
When a registered User wishes to obtain a service sold by the Company through the Site, the price shown on the service page is the price in euros including all taxes (VAT included) and takes into account the discounts applicable and in force on the day of the Order. The price shown does not include incidental costs, which will be indicated where applicable in the summary before the order is placed.
The Company reserves the right to change its prices at any time. It undertakes to invoice services at the price applicable at the time of their Order. For services whose price cannot be known in advance or stated with certainty, a detailed quote will be sent to the Client.
Under no circumstances may a User demand the application of discounts that are no longer in force on the day of the Order.
ARTICLE 7 – ORDERS
An Order can only be placed once the User has registered on the Site. When logged in to their account, the User can add Services to their virtual basket. They can open the basket summary to confirm the Services they wish to order and place their Order by clicking the "Order" button.
ARTICLE 8 – PAYMENT
The Client may pay for the selected item in the following ways:
- In cash, by arranging an in-person meeting;
- By bank transfer;
- By bank card, via the Stripe electronic payment terminal;
- In instalments (2, 3 or 4 payments) via the Alma payment service.
The payment method must be specified when placing the order. In the event of a refund, the amount will be returned by the same means used to pay the invoice, unless otherwise agreed between the Client and the Company.
⚠️ NON-REFUNDABLE DEPOSITS
Any deposit paid by the Client when booking a service is definitively retained by the Company and may not under any circumstances be refunded, whatever the reason given by the Client, including in the event of cancellation at the Client's initiative.
ARTICLE 9 – COMMERCIAL GUARANTEES (OPTIONS)
The Company offers two optional commercial guarantees, which can be taken out when placing the order. These guarantees are commercial commitments honoured by SSM Proposal itself and do not constitute insurance products within the meaning of the regulations in force.
9.1 – Tranquility Guarantee
Tranquility Guarantee – €99 incl. VAT (single price per service ordered) – Allows you to change the date of your service free of charge up to 3 days before the originally scheduled date.
By taking out the Tranquility Guarantee, the Client may postpone the date of their service once (1), without the modification fees provided for in Article 14.1 being applied, provided the change request is made at least 3 days before the originally scheduled date of performance.
Beyond this period, or in the event of a second change request, the standard modification fees of Article 14.1 apply.
The Tranquility Guarantee is non-refundable and does not cover cancellations.
9.2 – Sérénité Guarantee
Sérénité Guarantee – €69 incl. VAT (single price per service ordered) – Allows you to change the date of your service free of charge up to 7 days before the originally scheduled date.
By taking out the Sérénité Guarantee, the Client may postpone the date of their service once (1), without the modification fees provided for in Article 14.1 being applied, provided the change request is made at least 7 days before the originally scheduled date of performance.
Beyond this period, or in the event of a second change request, the standard modification fees of Article 14.1 apply.
The Sérénité Guarantee is non-refundable and does not cover cancellations.
Both guarantees may be combined on the same order. Where both guarantees are taken out, the guarantee offering the period most favourable to the Client applies.
ARTICLE 9 bis – PROMOTIONAL CODES
9 bis.1 A promotional code entitles the holder to a discount expressed as a percentage or an amount, according to the conditions displayed when it was issued. It is strictly personal to the campaign or partner for which it was issued.
9 bis.2 Unless expressly stated otherwise, a promotional code is valid only once per Order, cannot be combined with another promotional code, a referral code or a date-based discount, and does not apply to options, guarantees and ancillary fees where so specified.
9 bis.3 Codes have a validity period and may be limited to certain services, dates or ranges. An expired code, or one used outside its conditions, is refused when the Order is placed.
9 bis.4 The code must be entered before payment. No discount can be applied after the Order has been confirmed.
9 bis.5 SSM Proposal may suspend or delete a code in the event of fraudulent or abusive use, without affecting Orders already paid with that code.
ARTICLE 9 ter – PRICES AND DATE-BASED DISCOUNTS
9 ter.1 Some services benefit from a discount applicable on specific dates (for example weekdays or less in-demand slots). The discount is shown on the service page and in the Order summary, and applies to the chosen date of performance.
9 ter.2 The discount depends on the date of performance and not on the date of the Order. If the date is changed (Article 14.1), the price is recalculated at the rate for the new date; any difference is payable by the Client, or is not refunded if the new rate is lower.
9 ter.3 A date-based discount cannot be combined with a promotional code or a referral code, unless otherwise stated on the service page.
ARTICLE 9 quater – REFERRALS
9 quater.1 A Client may refer a person by sharing their referral code. The referred person receives a discount on their first Order; the referrer receives a benefit under the conditions in force.
9 quater.2 The referral code cannot be combined with a promotional code or a date-based discount, unless SSM Proposal decides otherwise in writing. Where combination is allowed, all discounts together are capped at 20% of the price of the service.
9 quater.3 Referrals are excluded for Valentine's Day offers and for any service shown as excluded on its page.
9 quater.4 The referred person must be a new Client. It is prohibited to refer oneself or to create several accounts in order to obtain a benefit.
9 quater.5 The referral benefit is only earned once the referred person's service has been performed and gives no right to any cash compensation. SSM Proposal may cancel benefits in the event of fraud.
ARTICLE 9 quinquies – SERVICES WITH A VEHICLE ON REQUEST
9 quinquies.1 Certain Drive services are offered "on request". The Client submits an availability request; the booking is only firm after written confirmation by SSM Proposal and payment.
9 quinquies.2 The vehicle, the driver and the route may be replaced by an equivalent in the event of unavailability, without this constituting a modification giving rise to compensation.
9 quinquies.3 In the absence of confirmation, no amount is charged.
ARTICLE 9 sexies – VALENTINE'S DAY OFFERS
9 sexies.1 Valentine's Day offers are available only during the window from 12 to 14 February, subject to availability.
9 sexies.2 The applicable prices are those displayed for the chosen date. The 10% discount on the relevant Fridays and Saturdays is applied automatically and cannot be combined with a promotional or referral code.
9 sexies.3 No postponement is possible outside the Valentine's Day window; Article 14.3 applies to cancellations. The guarantees of Article 9 apply within the limits of this window.
9 sexies.4 As quantities are limited, SSM Proposal may refuse an Order when the capacity for the date has been reached.
ARTICLE 9 septies – PERSONALISED BOUQUETS
9 septies.1 Personalised bouquets (50 or 100 red roses with a wooden initial letter) are only sold together with an OuiLove service. One initial is included.
9 septies.2 The Order must be placed no later than 5 pm on the day before the service. After this deadline, personalisation is no longer guaranteed.
9 septies.3 As the bouquet is a personalised and perishable item, it gives no right of withdrawal (Article 16.1) and is neither taken back nor exchanged. Flowers may vary slightly depending on the season and supply; the red colour is guaranteed.
9 septies.4 If the service is cancelled, the bouquet follows the fate of the service under Article 14.3.
ARTICLE 10 – PARTNER SUBSCRIPTION PLANS (DIRECTORY)
For professionals wishing to be listed in the directory, three plans are offered:
- Pack Découverte
- Pack Premium
- Pack Confiance
Annual prices range from €359 excl. VAT to €990 excl. VAT depending on the plan chosen. The details of what is included are set out on the Site at the time of subscription.
ARTICLE 11 – TERM, COMMITMENT AND RENEWAL (DIRECTORY)
Subscriptions are concluded for a period of 12 months from their activation. They are renewed automatically by tacit renewal, unless terminated by notice given before expiry.
Any period begun is due in full. No refund may be demanded, in particular where the partner listing is not used, where commercial results are judged insufficient, or in the event of early termination at the partner's initiative.
ARTICLE 12 – SELECTION OF PARTNERS (DIRECTORY)
Access to the directory is subject to prior selection. The Company reserves the right to:
- accept or refuse any application,
- limit the number of partners per trade and geographic area,
- remove a partner whose activity or behaviour no longer matches the Company's values or quality requirements.
The Company acts as a trusted third party, without commercial intermediation or any guarantee of being put in contact.
ARTICLE 13 – PARTNER LISTING
Each partner has a public listing including in particular: business contact details, a link to their website, short and long descriptions, photos and videos, and an indicative price range.
The information is published under the partner's sole responsibility. The Company reserves a right of validation and moderation.
Visibility options may be offered during the subscription (featuring, editorial content, newsletter, video, SEO optimisation, etc.). These options are optional and invoiced separately.
ARTICLE 14 – PERFORMANCE OF SERVICES
The service ordered on the Site will be performed by the Company and by its providers where the service requires it.
The Company undertakes to deploy all human and material resources to perform the service within the time announced when the Order was placed. However, it cannot under any circumstances be held liable for delays in performing the service caused by faults that are not attributable to it.
If the services have not been performed within the agreed time, the Client may request termination of the sale under the conditions set out in Articles L216-1 and L216-6 of the French Consumer Code. The sums paid by the Client will be refunded no later than fourteen days after the date on which the contract is terminated, in accordance with Article L216-7 of the French Consumer Code.
This provision does not apply where the Company's delay is due to a fault of the Client or to a case of force majeure, that is, the occurrence of an event that is unforeseeable, irresistible and beyond the Company's control.
Where the performance of a physical service could not be carried out or was postponed because of an error in the address given by the Client, the travel costs of the provider commissioned by the Company to perform the unsuccessful service will be borne by the Client.
Force majeure may be invoked if exceptional conditions (health, weather, etc.) make performance of the service partially or totally impossible. In accordance with French law, invoking force majeure is based on the occurrence of unforeseeable, irresistible and external event(s). If it is invoked, no refund can be made.
14.1 – Modification before the event
Any request to modify an Order must be sent in writing to SSM Proposal at the following address: SSM Proposal, 138 avenue Victor Hugo, 75016 Paris, or by email: hello@ouilove-paris.com.
The following are considered modifications: written requests from the Client resulting in a change of date, a change of residence, a change to the course of the service, a change of place of performance or any other change related, closely or remotely, to the originally agreed arrangements.
Any request to modify the Order is carried out only subject to availability and to payment of the modification fees set out below and of the fees charged by providers/hosts. In all cases, a modification gives rise to the following fees for SSM Proposal (unless a Tranquility or Sérénité Guarantee has been taken out – see Article 9):
- €30 for any order below €300;
- €60 for any order between €301 and €599;
- €100 for any order between €600 and €1,799;
- €200 for any order of €1,800 or more.
No modification can be made less than 48 hours before the date of performance of the service ordered.
14.1 bis - Order of priority
Where the Client has taken out a Tranquility or Sérénité Guarantee, the periods and conditions of Article 9 apply to their request to change the date, notwithstanding the 48-hour period provided for above. Where no guarantee has been taken out, this Article 14.1 applies: modification fees according to the order amount, subject to availability, and no modification less than 48 hours before the date of performance. Offers with a date window (Valentine's Day offers) can only be modified within their window.
14.2 – Modification during the service
Any service that is interrupted, shortened or not used by the Client for a reason not attributable to SSM Proposal cannot give rise to any refund. Any Client who does not show up at the place of their service will have 100% of the total Order amount retained, including options.
14.3 – Cancellation before the event
14.3.1 The Client may cancel all or part of their Order by sending their request to SSM Proposal by email to hello@ouilove-paris.com with acknowledgement of receipt, or by registered letter with acknowledgement of receipt to the address given in Article 14.1. The date of receipt of the acknowledgement or letter is authoritative.
14.3.2 Any cancellation results in the charging of, at a minimum, the following fees:
- more than 60 days before the event: 0% of the Order price;
- between 60 and 30 days before the event: 50% of the Order price;
- between 29 and 15 days: 75% of the Order price;
- less than 14 days before the event or no-show: 100% of the Order amount.
14.3.3 In accordance with Article 16, the Client has no right of withdrawal for leisure services to be provided on a specific date or during a specific period.
14.3.4 SSM Proposal refunds the sums paid, less the fees provided for in this article, no later than fourteen (14) days after the cancellation.
ARTICLE 15 – COMPLAINTS
For all Orders placed on this Site, the Client has a right to complain for 30 days from the provision of the Service.
To exercise this right, the Client must send the Company a statement setting out their reservations and complaints, together with the relevant supporting documents, to the following address: SSM Proposal – 138 avenue Victor Hugo, 75016 Paris.

The remaining services offered by the Company are subject to the 14-day right of withdrawal for distance sales in accordance with Article L221-18 of the French Consumer Code.

In addition, the Company reserves the right, by voluntary act, to make the Site unavailable in order to carry out any update, improvement or maintenance operation.

ARTICLE 22 – GOVERNING LAW AND JURISDICTION
